1. Preamble
Services Corporatifs Pronto inc. (“Pronto”, “we”, “our” or “us”) is a Quebec law firm operated by Jimmy Oppedisano, a member of the Barreau du Québec and the Law Society of Ontario. This policy describes how Pronto collects, uses, discloses, retains and protects the personal information of visitors, prospects and clients of the prontolegal.ca website.
Pronto undertakes to comply with all obligations imposed on it under the Act respecting the protection of personal information in the private sector (CQLR, c. P-39.1), as amended by Quebec's privacy law (Loi 25), as well as the Personal Information Protection and Electronic Documents Act (PIPEDA) where applicable.
2. Person in charge of personal information protection
In accordance with section 3.1 of Quebec's privacy law (Loi 25), the role of person in charge of personal information protection is held by:

3. Information we collect
Depending on the nature of your interaction with Pronto, we may collect the following categories of information:
3.1 Identification information
When you contact Pronto through a form or by email, we collect your first and last name and title, your contact details (mailing address, email, phone), as well as the subject of your request and the content of your messages.
3.2 Corporate file information
For incorporation, reorganization, tax planning or any other matter entrusted to us, we may collect:
- The identity of directors, shareholders, officers and ultimate beneficial owners (date of birth, citizenship, residence, ownership percentage);
- The proposed corporate name, registered office address, nature of activities and planned share capital;
- The Quebec business number (NEQ), corporate number, as well as any relevant federal or tax identification number.
3.3 Legal documents and records submitted by the client
Pronto acts as a law firm and regularly receives, in the course of its mandates, documents and records that may include, without limitation:
- Government-issued identification (driver's licence, passport, birth certificate);
- Articles of incorporation, articles of amalgamation, articles of amendment or dissolution;
- Shareholder agreements, rollover agreements (section 85), share or asset purchase agreements;
- Minute books, registers of resolutions and share transfers;
- Financial statements, T2 and CO-17 tax returns, notices of assessment;
- Commercial contracts, leases, service or employment agreements;
- Banking documents related to the opening or management of corporate accounts;
- Declarations regarding ultimate beneficial owners (PCI), NUANS reports, Revenue Agency forms;
- Any other supporting document required to carry out the mandate.
These documents and the information they contain are handled under lawyer-client privilege, in accordance with section 9 of the Charter of Human Rights and Freedoms of Quebec and the Code of Professional Conduct of Lawyers.
3.4 Technical information
When you browse prontolegal.ca, our servers and analytics tools may automatically collect your IP address and country of origin, the type and version of your browser, your operating system, the pages visited, the duration of your visits, as well as the source that directed you to the site and the cookies you have accepted.
4. Purposes of collection
Pronto uses the information collected in order to:
- Prepare, draft and file the legal documents required by your mandate;
- Communicate with you regarding your file and our services;
- Submit the required declarations and forms to the Registraire des entreprises du Québec, Corporations Canada, the Canada Revenue Agency, Revenu Québec and other competent authorities;
- Verify your identity within the meaning of the Proceeds of Crime (Money Laundering) and Terrorist Financing Act, where applicable;
- Bill and collect payment for our services;
- Improve the performance and security of our website;
- Comply with our legal, regulatory and professional obligations.
5. Consent
By submitting a form, sending documents or entrusting a mandate to Pronto, you consent to the collection, use and disclosure of your personal information for the purposes described in this policy. Where a new purpose not covered here is contemplated, we will obtain your express consent before proceeding.
You may withdraw your consent at any time, subject to the legal and professional obligations we must comply with, by writing to the person in charge of personal information protection identified in section 2.
6. Disclosure of information to third parties
Pronto never sells or rents your personal information. We may disclose it only in the following cases:
- Government authorities — to file the required articles, declarations and forms (REQ, Corporations Canada, CRA, Revenu Québec, CIPO, etc.).
- Service providers — accountants, tax specialists, certified translators, NUANS, electronic signature services, cloud hosting and document management tools. These providers are contractually bound by confidentiality and security obligations equivalent to ours.
- Legal obligations — where a court order, a law enforcement request or a legislative requirement compels us to disclose information.
- With your express authorization — for example, when you ask us to forward a document to your financial institution or another professional.
Where personal information may be disclosed outside Quebec, Pronto first conducts the privacy impact assessment provided for in section 17 of Quebec's privacy law (Loi 25).
7. Retention of information
Pronto retains your personal information only for the time necessary to fulfill the purposes for which it was collected, or for the period prescribed by law and by the Regulation respecting the keeping of records, books and registers of a lawyer, namely a minimum of seven (7) years following the closing of the file. Beyond this period, the information is securely destroyed or irreversibly anonymized.
8. Security
Pronto implements physical, organizational and technological security measures to protect your information against loss, theft, unauthorized access, modification or disclosure:
- Encryption of transmissions (TLS 1.3) and encryption at rest for stored documents;
- Two-factor authentication on cloud accounts and document management tools;
- Restricted access to files based on the principle of least privilege;
- Regular backups and business continuity plan;
- Ongoing staff training on personal information protection.
In the event of a confidentiality incident involving a serious risk of harm, Pronto will promptly notify the individuals concerned as well as the Commission d'accès à l'information du Québec.
9. Cookies and similar technologies
The prontolegal.ca website uses a limited number of cookies:
- Essential cookies — required for the site to function (session management, language preference). They do not require your consent.
- Analytics cookies — aggregated and anonymized, they help us measure traffic and improve content. You may refuse them through your browser settings.
No third-party advertising cookies are placed on this site.
10. Your rights
Under Quebec's privacy law (Loi 25), you have the following rights at all times:
- Right of access — obtain a copy of the information we hold about you;
- Right to rectification — have inaccurate, incomplete or ambiguous information corrected;
- Right of withdrawal — withdraw your consent to a processing activity, to the extent permitted by law;
- Right to portability — receive your computerized information in a structured and commonly used technological format;
- Right to de-indexing and to cease dissemination — in the circumstances provided for by law;
- Right to file a complaint — file a complaint with the Commission d'accès à l'information du Québec if you believe your rights have not been respected.
To exercise these rights, write to the person in charge of personal information protection (section 2). A response will be provided within thirty (30) days.
11. Information regarding minors
Pronto offers services to entrepreneurs and businesses. The site is not intended for persons under fourteen (14) years of age, and we do not knowingly collect personal information about them. If you believe information has been sent to us by mistake, contact us so that we can delete it.
12. Changes to this policy
Pronto may amend this policy at any time to reflect legislative, technological or operational changes. The update date above indicates the version currently applicable. Substantial changes will be communicated to you by email when you are an active client, or made visible on the site's home page.
