1. Preamble
Services Corporatifs Pronto inc. (“Pronto”, “we”, “our” or “us”) is a Quebec law firm operated by Jimmy Oppedisano, a member of the Barreau du Québec and the Law Society of Ontario. These terms and conditions (the “Terms”) govern your access to and use of the prontolegal.ca website.
The site is made available to you for general information purposes about the services offered by Pronto. It does not constitute an offer of services, legal advice, or a substitute for consulting a professional.
2. Acceptance of these terms
By accessing or using the site in any way (browsing pages, submitting a form, sending an email using the contact information displayed, downloading a document), you acknowledge that you have read, understood and accepted these Terms as well as our Privacy Policy. If you do not accept any of these provisions, please discontinue use of the site.
3. No attorney-client relationship
Simply browsing the site, submitting a form, sending an email or engaging in any other preliminary exchange with Pronto does not create an attorney-client relationship between you and the firm, its lawyers or its staff.
An attorney-client relationship is established only after the required verifications (client identification, conflicts of interest, regulatory compliance) have been completed to the firm's satisfaction and Pronto has accepted your file.
Until such a relationship is established, you should not send us confidential or sensitive information that you would not want disclosed. Information sent before a mandate is formed is not protected by lawyer-client privilege.
4. Informational content, not legal advice
All content published on prontolegal.ca (text, blog posts, FAQs, guides, templates, infographics, videos) is provided for informational purposes only. It reflects the state of the law applicable on the date of publication and does not take the reader's particular situation into account.
This content does not constitute legal, tax, accounting or financial advice and cannot replace a consultation with a qualified professional. 5. Use of the site
You agree to use the site in accordance with applicable laws and these Terms. In particular, you agree not to:

- Access sections of the site that are not intended for you (for example, the client portal reserved for active clients);
- Extract, index, copy or reproduce the content of the site on a large scale using bots, automated agents or scraping techniques;
- Upload or transmit a file containing a virus, malware or any code designed to harm the operation of the site;
- Submit false or misleading information, or information that impersonates another person, through a form;
- Use the site for unlawful, defamatory, harassing purposes or in a manner that infringes the rights of third parties.
6. Intellectual property
Unless otherwise indicated, all elements making up the site, including without limitation the text, articles, illustrations, logos, trademarks, templates, photographs, videos, layout, source code and object code, are the exclusive property of Services Corporatifs Pronto inc. or its licensors, and are protected by Canadian and foreign laws governing copyright, trademarks and intellectual property.
Pronto grants you a limited, personal, non-exclusive, non-transferable and revocable right to view and print the content of the site for your personal, non-commercial use. Any other use, in particular reproduction, distribution, modification, translation, posting on another website or incorporation into a derivative work, requires the prior written authorization of Pronto.
7. Links to third-party sites
The site may contain links to websites operated by third parties (for example government publications, partners or online tools). These links are provided for convenience only. Pronto does not control the content, policies or practices of these sites and disclaims any responsibility for them.
8. Limitation of liability
The site and its content are provided “as is” and “as available”. To the extent permitted by applicable law, Pronto excludes all express or implied warranties, in particular as to the accuracy, completeness, timeliness or suitability of the content for a particular purpose, as well as the uninterrupted and error-free availability of the site.
Pronto, its directors, lawyers and staff cannot be held liable for any direct, indirect, incidental, special or consequential damages arising from your use of or inability to use the site, including loss of profits, data or business opportunities, even if they have been advised of the possibility of such damages.
This clause does not limit Pronto's liability towards a client bound by a professional mandate, which is then governed by the rules applicable to the professional mandate and to the Code of Professional Conduct of Lawyers.
9. Indemnification
You agree to indemnify and hold harmless Pronto, its directors, lawyers and staff from any claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising from your use of the site in breach of these Terms, of applicable laws or of the rights of any third party.
10. Changes to the site and services
Pronto may, at any time and without notice, modify, suspend or discontinue all or part of the site, its features or the services described on it. Pronto assumes no liability towards you or any third party for any such modification, suspension or discontinuance.
11. Personal information
The collection, use, disclosure and retention of personal information collected through the site are governed by our Privacy Policy, which forms an integral part of these Terms.
12. Professional engagements and fees
These Terms govern only your use of the website. The legal services provided by Pronto are governed by a separate engagement agreement which sets out the scope of the mandate, the fees, the disbursements, the billing terms and the applicable professional obligations.

13. Governing law and jurisdiction
These Terms are governed by and interpreted in accordance with the laws in force in the province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.
Any dispute relating to your use of the site or to these Terms shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Laval, Quebec, subject to mandatory provisions applicable to consumers.
14. Language
These Terms are published in French and in English. The parties acknowledge that they have expressly requested that these Terms, as well as any related document, be drafted in both languages. Les parties reconnaissent avoir expressément demandé que ces Conditions, ainsi que tout document s'y rapportant, soient rédigés en français et en anglais.
15. Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from the Terms and the remaining provisions shall continue in full force and effect.
16. Changes to these Terms
Pronto may amend these Terms at any time to reflect legislative, technological or operational changes. The update date shown at the top of the page indicates the version currently applicable. Any substantial change will be signalled on the site and, where you are an active client, by email.
Your continued use of the site after the publication of a new version constitutes acceptance of that version.
