The process generally follows the same order: choose your statute (the Business Corporations Act (Quebec), the QBCA, or the Canada Business Corporations Act, the CBCA), pick a name or take a numbered designation, file the articles of incorporation, receive the certificate and the NEQ, submit the initial declaration, organize the corporation, then open the tax accounts and the bank account. What surprises most entrepreneurs is that the official step is the quickest one. The Registraire des entreprises processes online applications promptly; it is everything around the filing (gathering information, preparing the articles and the initial declaration, completing the legal organization) that determines how long incorporating a business takes from start to finish.

Name search: the most variable step

A numbered company all but removes this delay: for a Quebec corporation, the numbered designation is assigned automatically when the articles are filed. For federal corporations, the numbered name is generally assigned within 24 hours. If you want a name, a preliminary search of the enterprise register must be run to check whether other businesses already carry an identical or confusingly similar name; the name must also comply with the Charter of the French Language, which is not always straightforward. That verification takes a few hours when a professional handles it.

Filing the articles: REQ and Corporations Canada processing times

To incorporate under the QBCA, the articles of incorporation are filed online with the Registraire des entreprises. Processing time varies with volume: often a few hours to a few business days for a complete online application, and it is automatic (a few minutes) for corporations with a numbered name. The REQ also offers priority processing, for an additional fee, which shortens the wait considerably when time is tight.

After the certificate: organization, tax accounts and the bank

The certificate of incorporation creates the corporation, but it is not yet ready to operate. You still need to adopt the by-laws, elect the directors and appoint the officers, issue the first shares and assemble the minute book. Well prepared, this organization wraps up in a few days, the time it takes to prepare the documents and have everyone involved sign them (directors and shareholders). The initial declaration must be filed with the Registraire within 60 days of incorporation; in practice it often goes in at the same time as the articles.

Then come the tax accounts. GST and QST registration is handled with Revenu Québec, generally within a few business days. When the GST and QST numbers are issued, a federal business number and the provincial identification number (numéro IC) are assigned at the same time. If you hire, add the payroll deduction accounts (provincial and federal).

It is important to note that if you do not register for the GST and QST, the federal business number has to be applied for manually (except for federal corporations, where it is obtained automatically). As for the provincial numéro IC, it is normally generated automatically following incorporation, and mailed to the head office.
